TERMS OF SERVICE


Section 1 – Introduction to terms of service  

 
Saralcma acts as a platform to connect the prospective student with professional trainers to avail educational training services and related training materials. The training provided could be both live virtual classes or regular physical classes depending on the course scheme enrolled by student. The students, trainers, general public who subscribe to Saralcma’s mailing list and others who visit the website are expected to be familiar and be legally bound by the terms mentioned herein and also the privacy policy posted at Saralcma website.


Any changes to these terms of service will be updated at Saralcma website. The changes may occur with or without prior notice to students, trainers and visitors who have subscribed to mailing list. The responsibility to review the changes rests with students, trainers and visitors who have subscribed to mailing list.


All the description of service and fees for the service mentioned on our website is subject to change without prior notice. We reserve the right to modify or discontinue (in part or full) any of our service. We are not liable to anyone for any modification or discontinuance of our service.


Visitors by visiting the website or by subscribing to email list, students by registering for any training course and trainers by rendering service agree to these terms of service and privacy statement.


Section 2 – General terms of service 


If any information provided by student, consultants, visitors requesting subscription to mailing list is found to be untrue, inaccurate, not current or incomplete or Saralcma has reasonable ground to believe that information provided is untrue, inaccurate, not current or incomplete, Saralcma has the right to suspend the rendering of services or availing of service with immediate effect. Enrolling to the course is to be done only if the candidate is above 18 years of age. 


Saralcma does not take any responsibility for interruption, delay or failure in conducting classes, both online live classes or physical classes, due to “Force Majeure” event. “Force Majeure” event shall include, but is not limited to, acts of god, epidemics, pandemics, severe weather conditions, lightning, fire, acts of terrorism, wars, national emergencies, insurrections, riots, labor disputes, boycotts, or governmental interference, exceptional banking restrictions, power failure, shortage of power, disturbance to power supplies, disconnection damage or disturbance to telecommunications connections and cables, failure of telephone networks, failure or delay in any service provided by any third party including governmental or regulatory authority or Operator. Saralcma reserves the right to cancel a batch or postpone classes due to “Force Majure” event without payment of any compensation or refund of fees.


For course delivery Saralcma hires trainers. These trainers can be changed at any time after the course training commencement considering student’s feedback or otherwise. The decision taken by Saralcma management in this regard should be considered as final.


If upon Saralcma’s request or without our request if students or trainers make any submission in the form of creative ideas, suggestions, proposals and plans etc. by any means, they will agree that Saralcma has the right without any restriction to edit, copy, publish, distribute, translate and use such submission in whatever way Saralcma deems fit. Saralcma is under no obligation to maintain the submission as confidential or pay compensation for such submission.


Students and trainers agree that they will not post any content that is considered unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene or violates any intellectual property on our website. Saralcma takes no responsibility or assume any liability for such comments and violations.


Students and trainers promise not to share access to Saralcma and / or third  party’s websites by sharing their passwords with anyone. They will also not use the account or password of another user at any time. 


Students and trainers understand and agree that Saralcma may review and delete any content posted by anyone that in the sole judgment of Saralcma violate the terms of service or which may be offensive, illegal or violate the rights of any person. The links to recordings of lectures may also not be shared by Saralcma with students for above reason.


Saralcma reserves the right to contact its service users, in compliance with applicable law, in order to evaluate compliance with the rules and policies in the Terms of service. The concerned people will cooperate fully with Saralcma to investigate any suspected unlawful, fraudulent or improper activity via the Services.


Saralcma at its sole discretion may at any time review and delete any training content, if stored at locations managed by it for any reason and also refuse to send students links to the recorded content if content violates terms of service.


Saralcma has the right to refuse service to anyone for any reason at any time.


All resources including third party resources such as text book will be in English language.


Students and trainers agree to defend, indemnify and hold Saralcma, its officers, directors, employees, agents and representatives, harmless from and against any claims, liabilities, damages, losses and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with they violating the terms of service as student of Saralcma or as trainer of Saralcma.


Without notice to trainers and students, at its own discretion, Saralcma may notify authorities or take any actions it deems appropriate, if Saralcma suspects or determines, that they may have or there is a significant risk that they have (i) failed to comply with any provision of the Terms of service or any policies or rules established by Saralcma; or (ii) engaged in actions relating to or in the course of using the Services that may be illegal or cause liability, harm, embarrassment, harassment, abuse or disruption to other users.


Section 3 – Terms of service exclusively for student


a)    General


Saralcma, its directors, employees, agents or representatives alike do not guarantee that service offered will be free of interruption, the information or training provided will be error free. The training provided also do not promise the delivery of results. The information and training provided does not constitute authoritative professional consulting advice. The candidates agree to avail the service at their own risk. 


We do not warrant that the quality of service, information or any material procured for students by us from third party will meet their expectations, or that any errors in the service will be corrected. We neither monitor the usage of third party resources provided to students nor do we have any control over the content provided. The candidate acknowledges and agrees that access to such resources are provided on “as is” or “as available” basis without any warranties, representations or conditions of any kind and without any endorsement. The use of the third party resources are subject to terms and conditions set out by the third party who provided such resources.  We have no liability whatsoever arising from or relating to students’ use of third party resources. Students should review carefully the third party’s terms of service and make sure they understand them before they enroll with us. Any complaints, claims, concerns or questions regarding third party resource should be directed to third party.


The content (text, data, graphics, images, photos, video or audio content, hypertext links etc.) provided by Saralcma are protected by copyright, trademark and other relevant laws. Students have limited rights to view and download any Saralcma content solely for their personal purposes. Student will not use, copy, reproduce, duplicate, adapt, modify, prepare derivative works based upon, distribute, license, sell, exploit, transfer, publicly display, publicly use, upload. transmit, stream, broadcast or otherwise exploit the content, for commercial purpose or otherwise except as expressly permitted in these terms of service.


Students will get offline support for clearing their doubts upto six months from the time of course completion by attending physical or live virtual class, as the case may be.


Students both in physical and live virtual class are expected to maintain decorum of the session. Any student whose unruly behavior which disrupts the class or which is not in line with accepted normal decorum, may be asked to leave the session. Such student may also be barred from attending any future classes without any refund of fees paid.  


The maximum liability of Saralcma in any case will not exceed the amount paid by the candidate.


b)    Restrictions on student enrolling for live virtual class

Students are not allowed to share the training links of live virtual classes or recorded sessions sent to them with anyone. The links to recordings of live virtual classes are shared with students only in cases where student is unable to attend the live virtual class due to exceptional circumstance or emergency. The video links so shared can be used by students within specified limited period. The student is expected to send a written request to management if the recorded links are required. The discretion to accept or reject the request lies with Saralcma management.

c)    Change in venue in case of student who enrolls for physical class room session


In case of regular physical classes, Saralcma reserves the right to change the venue within 10 km radius of original venue. A student attending regular physical class in a particular location can be allowed to attend a physical class in another location, if due written request is made in this regard. This is subject to availability of seats in new location. The regular physical class student has to attend live virtual class in case conducting regular physical classes is deemed impracticable by Saralcma. The conversion of physical class room student to live class room student does not involve any extra payment by student or refund by Saralcma.


d)    Attending of missed class


A student who misses attending the physical class may be allowed to appear for the same class once in next batch free of cost provided the existing student batch size in next batch is 20 or less. Alternatively, the student may be provided with live class recording. 


e)    Rescheduling of batch

Rescheduling of student to another batch after the student enrolls for a batch is permitted only once as per the request of the students. Rescheduling can only be done before commencement of the batch for which the students has initially enrolled. This is allowed only when the batch size for which the student is seeking to change has batch size of 20 or less. No extra fees charged for rescheduling of batch.

f)    Refund of fees paid in lumpsum at the beginning of the period


Refund of fees will be considered only if the batch is cancelled. In this scenario, Saralcma will deduct the proportionate amount for classes already conducted and refund the balance within 7 days of cancellation of batch. Note that in any case the 70% of the fees paid will always represent non-refundable amount, if access codes of third party resources are shared with student.


g)    Refund of fees payable in installments


Fees are generally paid in advance. If an installment payment plan is agreed with any students, candidates understands and agrees that in the event of non-payment of fees as per plan, Saralcma has the right to ban the students from attending any future classes from the date payment falls due till the dues are settled by student. In case of installment plan, no refund of installment amount already paid would be entertained under any circumstance.

Section 4 – Terms of service exclusively for trainers


a)    General


The Saralcma training resources or third party resources provided to trainers should exclusively be used to train Saralcma students. The recorded LVC video content delivered by trainers themselves are not to be used by them for any commercial purpose. The trainers are also prohibited from sharing the recording with anyone including Saralcma’s past, present and future students without Saralcma’s express consent. Trainers are not to use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the resources, whether own or third parties, provided by Saralcma, except as expressly permitted in these Terms of service.


Saralcma, its employees, agents or representatives have right to attend at course delivery session for quality monitoring purpose or otherwise. 


The trainers expressly permit Saralcma to use their profile including photographs as a trainer in Saralcma training proposals, advertisements and in social media platforms. The trainers undertake to inform Saralcma if they are presently undertaking or planning to undertake training assignments for other institutes or entities who compete with Saralcma in the same space.


Trainers will not use the training assignment to offer, display, distribute, transmit, route, provide connections to or store any material that infringes copyrighted works or otherwise violates or promotes the violation of the intellectual property rights of any third party.


No compensation or honorarium will be paid to trainers if classes are cancelled or suspended due to force majeure event.


If there is conflict of interest occurring while trainers are performing their duties as a trainer, they will immediately disclose them to Saralcma.
Saralcma may at any time terminate or suspend the services based on students’s feedback or otherwise.

b)    Saralcma resources provided to trainers

Except third party resources provided to trainers, Saralcma will exclusively own all right, title and interest in and to training resources, including all associated intellectual property rights provided to trainers. Trainers should not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the training resources. They should not use these resources.


Trainers have limited rights to view and use any Saralcma content solely for training Saralcma students. Trainers will not use, copy, reproduce, duplicate, adapt, modify, prepare derivative works based upon, distribute, license, sell, exploit, transfer, publicly display, publicly use, upload. transmit, stream, broadcast or otherwise exploit the content, for commercial purpose or otherwise except as expressly permitted in these terms of service.

c)    Third party resources provided to trainers


If any third-party resources are provided to trainers for training purpose, the trainers should use them exclusively for training Saralcma students. In such scenario, the trainers are also bound by the terms set by the third party who provide such resources.
Trainers are prohibited from accessing third party resources using given user id and password, after they cease to render services to Saralcma due to any reason including termination or suspension of their service by Saralcma.


d) Rights to content delivered by trainers in any mode including video 


By registering themselves as a trainer with Saralcma, they grant Saralcma a worldwide, irrevocable, perpetual, exclusive, transferable, royalty-free rights, with the right to sublicense, to use, copy, adapt, modify, distribute, publicly display, publicly transmit, broadcast and otherwise exploit such delivered content in any and all media or distribution methods. Saralcma also has the right to make content they delivered available to other companies, organizations or individuals who partner with Saralcma without compensating them in any way.

To give Saralcma the above-mentioned rights, the trainers agree that either they have the sole and exclusive ownership of all delivered content that they make available to Saralcma students or they have all rights, licenses, consents and releases that are necessary to grant to Saralcma the rights in such delivered content, as contemplated under the Terms of service. 


e)    Precautions to be taken during course delivery

During training course delivery, trainers have an obligation not to infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. Trainers will also refrain from encouraging students to directly or indirectly have access to study resources that will result in infringement, misappropriation or violation of  third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

At all times during course delivery trainers promise that they would not do or say anything that defames Saralcma. Trainers are also barred from speaking about Saralcma’s competitors. Trainers also undertake not to entice students to any other training course or same course conducted by trainers themselves or any training offered by other training institutes or entities. Trainers will not solicit from students and participants information that is considered personal, Trainers are barred from selling any products and services on Saralcma platform that are not owned or rendered by Saralcma. Trainers will ensure that at all times they will maintain decorum of the sessions conducted. Any information trainers have obtained from the student cannot be used by them to harass, abuse, or harm the student. They will, at all times, maintain confidentiality of the student information that they have obtained. They will not discriminate any students on any basis.


Trainers have to take feedback from students or participants at the end of the session, if so requested by Saralcma.

f)    Restriction on use of computer system provided for training purpose

​

If any computer system is provided to trainers for training purpose, trainers undertake to use the system exclusively for training purpose. Trainers are barred from installing any software in the computer system, without prior permission from Saralcma. Trainers will not use the system to offer, display, distribute, transmit, route, provide connections to or store any material, publish any material that infringes copyrighted works or otherwise violates or promotes the violation of the intellectual property rights of any third party.

Section 5 – Jurisdiction and notices


The Terms of service and any action related thereto will be governed by the laws of the Republic of India without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of the Terms of service will be the state and federal courts located in Bengaluru, Karnataka State, India. Students and trainers waive any objection to jurisdiction and venue in such courts.


Students’ and trainers’ consent to the use of: (i) electronic means to complete the Terms of service and to deliver any notices or other communications permitted or required hereunder; and (ii) electronic records to store information related to the Terms of service or their use of the Services. Any notices or other communications permitted to required hereunder, including those regarding modifications to the Terms of service, will be in writing and given: (x) by Saralcma via email if applicable (in each case to the address that they provide); or (y) by posting to the Services. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
